Registration of the amendment of the Articles of Association of ADVADIS S.A. in bankruptcy with composition agreement by the Court
With regards to the Current Report No. 24/2012 of 1st June 2012, the Bard of ADVADIS S.A. in bankruptcy with composition agreement (hereinafter: "Company") hereby informs that on 27th June 2012 the Company received a Decision of the District Court for Kraków – Śródmieście in Kraków, 11th Commercial Division of the National Court Register of 20th June 2012 on registration of amendments in the Company’s Articles of Association, published in the Current Report No. 24/2012. Pursuant to a certificate delivered to the Company by the Court, the said entry of the amendment in the National Court Register was made on 21st June 2012.
The Amendments to the Company’s Articles of Association were approved by means of a Resolution No. 16/04/2012 of the Ordinary Meeting of Shareholders of 30th April 2012.
The Company’s Board hereby publishes the amendments made in the content of the Company’s Articles of Association:
§ 3 par. 4 and 5 of the Company’s Articles of Association is hereby repealed as follows:
"4. The Company’s conditional initial capital amounts to no more than PLM 20 000 000.00 (twenty million 00/100) złoty and is divided into no more than 20 000 000 (twenty million) of ordinary bearer shares of K series, with the nominal value amounting to PLN 1.00 (one 00/100) złoty per each share.
5. The conditional increase of the initial capital is made in order to secure exchange of bearer bonds into ordinary bearer shares of K series by the bondholders.”
